6. Intellectual Property

Unless otherwise agreed in writing, all content available on the Peractio Labs website -including text, graphics, logos, illustrations, icons, branding, designs, documentation, and other materials -is the intellectual property of Peractio Labs or its licensors and is protected under applicable intellectual property laws.

• Proprietary tools

• Reusable software libraries

• Clients retain ownership of:

Subject to full payment and the terms of the applicable agreement, clients generally own the custom deliverables specifically created for their project, unless otherwise agreed in writing.

Open-source software remains subject to its respective license terms.

7. Confidentiality

We understand that our clients often share sensitive business information during the course of a project.

Peractio Labs treats confidential information with care and will take reasonable steps to protect information disclosed during project engagements.

Where appropriate, we are happy to enter into Mutual Non-Disclosure Agreements (NDAs) before discussing confidential business information.

Both parties are expected to respect confidential information and use it only for the purposes for which it was shared.

8. Client Responsibilities

Successful projects require collaboration.

Clients are responsible for:

Supplying required content and materials.

Reviewing deliverables within agreed timeframes.

Providing timely feedback.

Ensuring they have the necessary rights to any materials supplied to us.

Obtaining required approvals from internal stakeholders.

9. AI-Assisted Development

Peractio Labs embraces AI as a tool to improve productivity, accelerate development, and enhance product delivery.

Where appropriate, AI-assisted tools may be used during activities such as:

• However:

Human engineers remain responsible for technical decisions.

AI-generated outputs are reviewed before implementation.

Confidential client information is not used to train public AI models.

AI recommendations do not replace engineering judgment.

10. Third-Party Services

Projects may integrate with third-party services selected by the client or recommended by Peractio Labs.

• Each third-party service is governed by its own terms and privacy practices.

Peractio Labs is not responsible for the availability, policies, or actions of independent third-party providers.

11. Fees & Payment

Commercial terms, payment schedules, milestones, and invoicing arrangements are defined in the applicable proposal, quotation, Statement of Work, or client agreement.

Unless otherwise agreed:

Invoices are payable within the agreed payment period.

Late payments may delay project milestones.

Certain deliverables may be withheld until outstanding payments are received.

Taxes, duties, or regulatory charges remain the responsibility of the client unless otherwise stated.

Any refund or cancellation provisions will be governed by the applicable project agreement.

12. Warranties

Peractio Labs will perform its services with reasonable skill, care, and professional diligence consistent with accepted industry practices.

Except where expressly stated in a written agreement, our website and services are provided on an "as available" and "as is" basis.

We do not warrant that:

The website will always be error-free.

Third-party services will remain continuously available.

Software will be free from all defects or vulnerabilities.

Where software is developed for clients, warranty periods and support commitments will be defined within the relevant project agreement.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Peractio Labs shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or relating to the use of our website or services.
